Thank you for using the fenzo.ai website and all course materials made available through it (collectively, the "Service") operated by Educative, Inc. doing business as Fenzo ("Fenzo," "we," "us," or "our"). Use of and access to the Service is subject to your compliance with these Terms of Service (the "Terms"), so please read these Terms carefully. Fenzo reserves the right to limit or terminate your access to the Service if you do not comply with these Terms.
By accessing and using the Service, you agree to be bound by these Terms. IF YOU DO NOT AGREE TO ALL OF THE TERMS AND CONDITIONS CONTAINED IN THESE TERMS OF SERVICE, YOU DO NOT HAVE PERMISSION TO USE THE SERVICE IN ANY MANNER. If you are using the Service on behalf of your employer, you represent that you are authorized to accept these Terms on your employer's behalf.
The Service is not intended for use by anyone under the age of 13.
Please also review our Privacy Policy and Acceptable Use Policy, which are incorporated into these Terms by reference.
We reserve the right to modify these Terms from time to time. If we modify these Terms, we will indicate that we have done so on the Service and by changing the effective date above. Continued use of the Service constitutes your acceptance of any modified Terms.
Fenzo is available to users aged 13 and older. By creating an account, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that you have obtained the consent of a parent or legal guardian to use the Service and agree to these Terms.
We do not knowingly collect personal information from children under the age of 13. If we learn that we have collected personal information from a child under 13, we will take steps to delete that information promptly. If you believe a child under 13 has provided us with personal information, please contact us at support@fenzo.ai.
To sign up for an account to use the Service, you must provide us with your name and email address. It is your responsibility to ensure that your account information is accurate and up-to-date. You may not share an account with any other person. You are responsible for maintaining the confidentiality of your account and password, including but not limited to the restriction of access to your computer and/or account. You agree to accept responsibility for any and all activities or actions that occur under your account. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. Fenzo is not liable for any loss arising from unauthorized use of your account.
By creating an account on our Service, you agree that we may send you transactional emails, newsletters, marketing or promotional materials and other information. You may opt out of receiving promotional and marketing communications by following the unsubscribe link or instructions provided in any email we send. You may not opt out of receiving transactional emails about your purchases or important emails about your use of the Service.
Subject to your payment of any applicable fees and your compliance with these Terms, Fenzo grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service and any content generated through it for your own personal or internal business learning purposes, in accordance with your Subscription Plan.
The Service generates courses, lessons, assessments, explanations, and other educational materials using artificial intelligence in response to your inputs and requests ("Generated Content"). Generated Content is produced by Fenzo's AI systems and is provided to you under the license granted in these Terms for your personal or internal business learning purposes. Fenzo retains all rights in and to Generated Content not expressly granted to you. You may access and use Generated Content within the Service in accordance with your Subscription Plan.
Fenzo may use Generated Content for the purposes of:
(a) Operating and providing the Service (including displaying shared courses to other users);
(b) Improving the Service, AI models, and widget technology, in anonymized and aggregated form;
(c) Marketing and promotional purposes, in anonymized form (e.g., showcasing example courses without identifying the user who prompted them).
You acknowledge that other users may generate similar or identical content using the Service.
Unless otherwise agreed in writing by Fenzo, you may not:
(a) Reproduce, copy, republish, or distribute Generated Content on any external platform, website, learning management system, or service;
(b) Sell, rent, license, or otherwise commercially exploit Generated Content;
(c) Use Generated Content to create or populate a competing product or service;
(d) Represent Generated Content as solely your own original work for commercial publication;
(e) Systematically download, extract, or archive Generated Content for redistribution or resale.
Generated Content is licensed for your personal learning and internal business use within the Fenzo platform. Sharing Generated Content is permitted only through the sharing features provided by the Service, subject to the limitations of your Subscription Plan.
The Service, including its design, software, AI models, widget technology, algorithms, user interface, and all related intellectual property, is and remains the exclusive property of Educative, Inc. These Terms do not grant you any rights to our intellectual property except the limited license described above. The Service is protected to the maximum extent permitted by copyright laws and international treaties. You may not decompile or disassemble, reverse engineer, or otherwise attempt to discover any source code contained in the Service.
You retain all rights in and to content that you provide, upload, or submit to the Service, including text inputs, uploaded documents, course context, prompts, and responses to assessments ("User Content"). By submitting User Content, you grant Fenzo a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, process, and display your User Content solely for the purposes of:
(a) Operating, providing, and improving the Service;
(b) Generating courses and educational content based on your inputs;
(c) Training and improving our AI models and algorithms, in anonymized and aggregated form;
(d) Complying with applicable law or legal process.
You represent and warrant that you have all necessary rights to submit User Content and that your User Content does not infringe the rights of any third party.
The Service includes AI-powered features including course generation, AI Mentor (Breakout Session), AI Evaluator (PromptAI), adaptive learning, and AI-powered feedback within interactive widgets ("AI Features"). You acknowledge and agree that:
(a) AI-generated content may contain errors. Generated Content is produced by artificial intelligence systems and may contain inaccuracies, incomplete information, or errors. Fenzo does not guarantee the accuracy, completeness, or reliability of any Generated Content. You are responsible for reviewing and verifying any Generated Content before relying on it.
(b) AI-generated content is not professional advice. Generated Content is intended for educational and informational purposes only and does not constitute professional, medical, legal, financial, or other specialized advice. You should consult qualified professionals for any decisions requiring professional judgment.
(c) AI Features may produce different results. The same or similar inputs may produce different outputs at different times. Fenzo does not guarantee that AI Features will produce consistent, identical, or reproducible results.
(d) AI models may change. Fenzo may update, modify, or replace the AI models underlying the Service at any time. Such changes may affect the quality, style, or characteristics of Generated Content.
(e) No guarantee of uniqueness. Generated Content may be similar or identical to content generated for other users. Fenzo does not guarantee that Generated Content is unique to you.
(f) Learning outcomes are not guaranteed. While Fenzo is designed to facilitate learning, we do not guarantee any specific learning outcomes, test scores, certifications, or educational results.
By inputting text, prompts, or uploading documents into the Service, you grant Fenzo a license to use this anonymized and aggregated data to improve our AI models and service performance. We will not use your uploaded documents in identifiable form for model training. For more information, see our Privacy Policy.
You may not access the Service using any robot, spider, scraper, or other automated means for any purpose without our express written permission. You may not use automated systems, bots, browser automation, or any programmatic means to generate courses, interact with AI Features, or extract content at scale. If Fenzo provides API access (for Enterprise customers), you agree to adhere to all documented rate limits. Attempting to circumvent these limits or reverse-engineer the API is strictly prohibited and grounds for immediate account termination.
You agree to use the Service only for lawful purposes and in accordance with these Terms. Without limitation, you agree not to use the Service to make available or transmit any content that:
(a) Is illegal under or otherwise violates any local, state, national or international law;
(b) Violates the rights of any party, including rights of privacy and publicity;
(c) Is obscene, lewd, lascivious, violent, or otherwise objectionable;
(d) Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability;
(e) Is false or misleading;
(f) Infringes any copyright, patent, trademark, trade secret, or other proprietary rights of any party;
(g) Includes private information of a third party without their consent;
(h) Introduces viruses or any other code designed to interrupt, destroy, or limit the functionality of any computer software or hardware;
(i) In our sole judgment, is objectionable or which restricts or inhibits any other person from using or enjoying the Service, or which may expose Fenzo or its users to any harm or liability of any type.
You further agree not to:
(j) Use AI Features to generate content for purposes unrelated to learning or education, including generating marketing copy, business documents, or other commercial content;
(k) Use AI Features to complete graded academic assignments for submission as your own work;
(l) Attempt to extract the system prompts, model weights, or training methodology of our AI systems;
(m) Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Service;
(n) Use the Service to develop a competing product or service;
(o) Use the Service in any manner that violates our Acceptable Use Policy.
Fenzo does not control and is not responsible for content generated by AI systems and is not responsible for any inaccurate, inappropriate, or otherwise objectionable content that may be produced by the Service.
Fenzo offers multiple Subscription Plans with varying features and usage limits, including Free, Pro, and Max tiers. The features, pricing, and limits of each plan are described on our pricing page and may be updated from time to time.
The Free tier provides limited access to the Service as described on our pricing page. Fenzo reserves the right to modify the features, limits, and availability of the Free tier at any time without notice.
If you purchase a paid Subscription Plan, such Subscription will be billed automatically in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of Subscription Plan you select. Annual plans are billed as a single upfront payment for the full year.
A valid payment method, including credit card, is required to process the payment for your Subscription. By submitting such payment information, you automatically authorize Fenzo to charge all Subscription fees incurred through your account to any such payment instruments.
At the end of each Billing Cycle, your Subscription will automatically renew unless you cancel before the renewal date. You authorize Fenzo to charge the applicable fees to your payment method on file.
The fees for Subscriptions are as set forth in the Service. Fenzo may modify the fees at any time. Price changes for existing subscribers will take effect at the beginning of the next Billing Cycle following notice. Annual plan pricing is locked for the duration of the current term. All fees are exclusive of applicable taxes. You are responsible for paying any taxes associated with your use of the Service.
Fenzo will provide you with reasonable prior notice of any change in Subscription fees to give you an opportunity to terminate your Subscription before such change becomes effective. Your continued use of the Service after the Subscription fee change comes into effect constitutes your agreement to pay the modified Subscription fee amount.
In order to purchase a Subscription, you must provide Fenzo's third-party payment processor with certain information including, without limitation, your name, your credit card number, the expiration date of your credit card, and your billing address. Our payment processor is only permitted to use such data to process your purchase. Fenzo does not directly store your full payment card number.
By making a purchase with a credit card or other authorized method of payment, you represent and warrant that:
(i) you have the legal right to use such credit card(s) or other payment method(s); and
(ii) the information you supply to us is true, correct and complete.
We reserve the right to refuse or cancel your order at any time for reasons including but not limited to: product or service availability, errors in the description or price of the product or service, error in your order or other reasons. We reserve the right to refuse or cancel your order if fraud or an unauthorized or illegal transaction is suspected.
(a) Monthly Plans. You may cancel your monthly plan at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months.
(b) Annual Plans. You may cancel your annual plan at any time. Cancellation takes effect at the end of the current annual term. Refunds for annual plans are available only within 7 days of the initial purchase or renewal, and only if you have not used the Service in a material way during that period. We reserve the right to reject refund requests for any reason, including if we suspect abuse of the refund system.
(c) Fenzo reserves the right to reject refund requests for any reason, including if we suspect abuse of the refund system.
(d) Downgrade. If you downgrade your plan, the downgrade takes effect at the end of the current billing period. You will retain access to higher-tier features until the end of your current paid period.
Upon cancellation of a Subscription, all rights you have in any Generated Content are subject to the restrictions described in the "Restrictions on Generated Content" section above.
All Subscription Plans are subject to our Acceptable Use Policy. Fenzo reserves the right to throttle, suspend, or limit access to the Service for any user whose usage materially exceeds normal patterns or violates the Acceptable Use Policy, as determined by Fenzo in its reasonable discretion.
Certain Subscription Plans allow you to share courses with others via shareable links. When you share a course:
(a) You grant Fenzo the right to display and deliver the shared course to recipients;
(b) Recipients will access the shared course under Fenzo's standard terms, with access levels as described in your Subscription Plan and our sharing policy;
(c) You are responsible for the content of courses you share and represent that shared courses do not violate these Terms or applicable law;
(d) Fenzo may display attribution (e.g., "Created with Fenzo ") on shared courses;
(e) Sharing is only permitted through the sharing features provided by the Service. You may not copy, reproduce, or redistribute course content through external channels.
Your use of the Service is governed by our Privacy Policy.
By using the Service, you acknowledge that your User Content and interactions with the Service may be processed by AI systems for the purposes described in these Terms and our Privacy Policy. This processing includes generating courses and educational content, providing AI Mentor and AI Evaluator interactions, personalizing your learning experience (for applicable Subscription Plans), and improving our AI models and the Service using anonymized and aggregated data.
If you submit any questions, comments, suggestions, ideas, feedback, or other information about the Service ("Feedback"), you grant us the unrestricted use and dissemination of this Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you. We will not disclose any personal information associated with such Feedback except in accordance with our Privacy Policy.
You may terminate your account at any time by contacting us at support@fenzo.ai or through the account settings. Upon termination, your right to use the Service immediately ceases.
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to:
(a) Violation of these Terms, the Acceptable Use Policy, or the Privacy Policy;
(b) Abusive, fraudulent, or illegal activity;
(c) Extended periods of inactivity;
(d) Failure to pay applicable fees;
(e) Use of the Service that negatively impacts other users or the infrastructure.
Upon termination:
(a) Your license to use the Service is immediately revoked;
(b) Fenzo may delete your account data, including Generated Content, after a reasonable retention period (typically 30 days), unless a longer retention period is required by law or applicable agreement;
(c) All provisions of the Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
The Service may contain links to other sites that are not operated by us. If you click on a third-party link, you will be directed to that third party's site. We strongly advise you to review the privacy policy of every site you visit. We have no control over, and assume no responsibility for the content, privacy policies or practices of any third-party sites or services.
The Service may be temporarily unavailable from time to time for maintenance or other reasons. Fenzo assumes no responsibility or liability for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, content.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
THE SERVICE, AND ALL CONTENT, GENERATED CONTENT, PRODUCTS AND SERVICES INCLUDED IN THE SERVICE ARE PROVIDED "AS IS," WITH NO WARRANTIES WHATSOEVER. FENZO DISCLAIMS ALL WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
FENZO MAKES NO WARRANTY OR REPRESENTATION REGARDING
(i) ANY CONTENT OR GENERATED CONTENT OFFERED THROUGH THE SERVICE,
(ii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE,
(iii) THE CURRENCY, ACCURACY, QUALITY, CONTENT, COMPLETENESS, LEGALITY, OPERABILITY, AVAILABILITY OR RELIABILITY OF ANY INFORMATION OR PRODUCTS OBTAINED THROUGH THE SERVICE, OR
(iv) THE DELETION, FAILURE TO STORE, MIS-DELIVERY, OR UNTIMELY DELIVERY OF ANY INFORMATION, PRODUCTS OR MATERIAL. FENZO DOES NOT REPRESENT OR WARRANT THAT THE SERVICE WILL MEET ANY OF YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR FREE.
FENZO IS NOT RESPONSIBLE FOR ANY DECISIONS MADE OR ACTIONS TAKEN BASED ON GENERATED CONTENT. AI-GENERATED CONTENT MAY CONTAIN ERRORS, INACCURACIES, OR INCOMPLETE INFORMATION. YOU USE AI-GENERATED CONTENT AT YOUR OWN RISK.
USE OF THE SERVICE IS AT YOUR SOLE RISK. YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE THAT RESULTS FROM YOUR USE OF THE SERVICE.
UNDER NO CIRCUMSTANCES SHALL FENZO BE LIABLE TO YOU ON ACCOUNT OF (i) ANY CONTENT OR GENERATED CONTENT, (ii) YOUR USE OR MISUSE OF OR RELIANCE ON THE SERVICE, OR (iii) YOUR INABILITY TO USE THE SERVICE, OR THE INTERRUPTION, SUSPENSION, OR TERMINATION OF THE SERVICE (INCLUDING SUCH DAMAGES INCURRED BY THIRD PARTIES). SUCH LIMITATION OF LIABILITY SHALL APPLY TO PREVENT RECOVERY OF DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, AND PUNITIVE DAMAGES, AND THE COSTS OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, LOST PROFITS, OR LOST DATA ARISING FROM ANY CLAIM RELATING TO THESE TERMS OR THE SUBJECT MATTER HEREOF WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, (EVEN IF FENZO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). IN NO EVENT SHALL THE LIABILITY OF FENZO OR ITS OFFICERS, DIRECTORS, AND EMPLOYEES EXCEED $10,000 OR THE IMMEDIATE TWELVE (12) MONTHS OF SERVICE LICENSE FEES PAID BY YOU TO FENZO, WHICHEVER IS LOWER.
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
To the fullest extent permitted by law, you agree to indemnify and hold Fenzo, its subsidiaries and affiliates, and each of their directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, demand, damages, costs and expenses, including reasonable attorney's fees, arising out of your use of the Service, your User Content, your sharing or distribution of Generated Content, your conduct in connection with the Service, or any violation of these Terms or of any law or the rights of any third party.
We respect the intellectual property rights of others. It is our policy to respond to any claim that content posted on the Service infringes on the copyright or other intellectual property rights of any person or entity.
If you are a copyright owner, or authorized on behalf of one, and you believe that copyrighted work has been copied in a way that constitutes copyright infringement, please submit your claim via email to copyrights@fenzo.ai, with the subject line: "Copyright Infringement" and include in your claim a detailed description of the alleged infringement.
You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing:
(a) An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright's interest;
(b) A description of the copyrighted work that you claim has been infringed;
(c) Identification of the URL or other specific location on the Service where the material that you claim is infringing is located;
(d) Your address, telephone number, and email address;
(e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
(f) A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.
You may be held accountable for damages (including costs and attorneys' fees) for misrepresentation or bad-faith claims on the infringement of any content found on the Service on your copyright.
These Terms shall be governed by and construed in accordance with the laws of the State of Washington, excluding its conflict of law provisions.
The parties will cooperate in good faith to resolve any disputes regarding these Terms. If the parties are unable to resolve the dispute within thirty (30) days following the date one party sends written notice of the dispute to the other party, and if either party wishes to pursue the dispute, it shall be resolved through neutral binding arbitration in King County, Washington, in accordance with the Commercial Arbitration Rules of The American Arbitration Association. The arbitrator's award shall be final and binding upon the parties and judgment may be entered upon it in accordance with applicable law. Expenses of arbitration will be paid according to the findings of the arbitrator.
Each party agrees that any dispute resolution proceedings shall be conducted solely on an individual basis and not within a class, consolidated, or representative action.
Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
You and Fenzo agree that any cause of action arising out of or related to this Service must commence within one (1) year after the cause of action arose; otherwise, such cause of action is permanently barred. Some jurisdictions may prohibit the shortening of the time period in which a cause of action must be brought. In all such jurisdictions, the applicable time period shall be the minimum allowed by law.
Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable order forms or enterprise agreements, constitute the entire agreement between you and Fenzo regarding the Service.
Severability. If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
Waiver. The failure of Fenzo to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Fenzo.
Assignment. You may not assign or transfer these Terms without Fenzo's prior written consent. Fenzo may assign these Terms without restriction.
Force Majeure. Fenzo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, or failures of third-party services.
Notices. All notices to a party shall be in writing and shall be made either via email or conventional mail. Fenzo may broadcast notices or messages through the Service or through the email address you supplied when you registered for the Service to inform you of changes to these Terms, the Service, or other matters of importance. Such broadcasts shall constitute notice to you.
